Letter of Intent — ApertureAPI Validation Partnership

Date: [DATE]

Between: ApertureAPI ("Provider"), contact: system@apertureapi.com and [PARTNER ORGANIZATION NAME] ("Partner"), [PARTNER ADDRESS], represented by [NAME, TITLE], contact: [EMAIL].

1. Purpose

This letter records the parties' intent to begin a validation partnership in which Partner evaluates the ApertureAPI holographic-reconstruction service against Partner's own workflow: [ONE-SENTENCE DESCRIPTION OF THE WORKFLOW — e.g. "inline QC imaging of X on rig Y"].

2. Free trial

Provider grants Partner a free 3-month trial of the ApertureAPI service, beginning [TRIAL START DATE] and ending [TRIAL END DATE], on a partner account subject to the published tier limits (https://api.apertureapi.com/docs/tier-limits). No fee is due for the trial. At the end of the trial, Partner may (a) convert to a paid plan per the published pricing, (b) enter the free validation and a design partnership per Section 3, or (c) conclude the evaluation with no further obligation.

3. Free validation and design partnership (optional next steps)

If the parties proceed to a formal validation, it will follow the free, bounded process published at https://api.apertureapi.com/docs/pilot-program, including: an acceptance threshold agreed in writing before any Partner data is examined, and a final report stated against the pre-agreed threshold, including when the outcome is a miss. If the threshold is met, the paid next step is a Software or Hardware Design Partnership on the terms published at https://api.apertureapi.com/docs/design-partnership, under a separate one-page agreement. The threshold is recorded in a separate scoping document, not in this letter.

4. Data handling and confidentiality

Partner frames and reference measurements are used for the evaluation and for nothing else. If Partner requires an NDA, it will be signed before any frame is transferred: [NDA REQUIRED? YES / NO]. Retention and end-of-engagement disposition are agreed in writing at scoping. Each party will keep the other's non-public information confidential.

5. Non-binding

Except for Section 4 (data handling and confidentiality), this letter is a statement of intent and is not a binding contract. Either party may end the evaluation at any time with written notice. This letter creates no exclusivity, no license beyond the trial account, and no obligation to proceed to a validation, a design partnership or a paid plan.
